  • Liz Theresa is the named Provider in this agreement. You, the signee indicated above, are the named Client or a proxy for the named Client in this agreement.

    Definition: "Website Design (Development Only)" means any technical work, design work, copywriting work, and any other type of website work under the scope of this Agreement sent from the Provider to the Client. A "set of tweaks" means an email sent from the Client to the Provider with a list of adjustments necessary to creating a finalized, fully-developed website.

    Scope of Project: The Provider agrees to provide the Client with services within the parameters of this Service Agreement for a flat rate. The Provider will charge this amount for the website development, going live, incidental marketing strategy advice granted throughout the process, phone calls, and the two sets of tweaks provided in this agreement. The Provider agrees to give the Client a tutorial on how to go into WordPress and make changes at the conclusion of the project.

    All advice given by the Provider, incidentally or otherwise, is to be regarded as mere suggestion and should be followed at the discretion of the Client. Similarly, any design/brand concept sent from the Provider to the Client is to be used at the discretion of the Client.

    Maximum Hours: The package the Client is purchasing at a flat rate entitles the Client to the services described up to a 25 hour limit. After that limit is reached, the Client is required to purchase additional hours from the Provider in order to bring the project to completion.

    Absentee Clause: If the Client chooses to discontinue working on the project for any reason for a period of 6 weeks or longer, the Client must pay a flat fee of $1000 to reboot working with the Provider.

    Timeline: The services described above will begin the date the invoice is paid and all forms are returned to the Provider. The project will be completed in a timely manner. The Provider will be as efficient as possible as stated in the Communication Guidelines below. The Client will do her best to also be efficient if the Provider needs clarity along the way.

    Communication Guidelines: After receiving an email from the Client, the Provider agrees to get back to the Client as quickly as she can. If the Provider has a personal emergency, she or another team member will make the effort to let the Client know immediately so she is not inconvenienced. Liz Theresa and her team are available during business hours 9am ET to 5pm ET Monday through Friday and cannot guarantee availability otherwise.

    If the Client needs to reach the Provider by telephone, she may do so. The Provider may also reach out to the Client along the way for clarification on the Client’s business (ie. what you charge per hour, what your password is for something, etc).

    After the conclusion of the project, strategy and additional web services are available for separate fees.

    Tweaking Clause: After a website concept is selected and developed fully, the Client is also allotted two sets of tweaks. Each additional set of tweaks is available for additional fees. Any additional tweaking fees would be tallied with the remaining balance due at the conclusion of the project. Small tweaks (adjusting spelling, repairing a link, completion of tasks to maintain the overall functionality, bug fixes, etc.) are provided at no charge for up to 30 days after "going live." In the WordPress tutorial session given at no charge at the end of the project, the Provider will teach the Client how to make simple changes.

    Sign-off Clause: The Provider will not begin development of the selected design unless the Client officially "signs off" on the winning design concept in the Website Design Sign off Form. The Provider will not go "live" with a website unless the Client signs off on allowing the Provider to do so in the Website Development Sign off Form.

    Delivery: Prior to final delivery and acceptance of the Website, the Provider will back up work regularly. With the delivery of the applicable Website, the Provider shall deliver the source code therefore as well as any and all developer and user documentation relating to the Website, including but not limited to developer documents, licenses for Open Source Code, and passwords.

    Payment Clause: Payments made by the Client to Liz Theresa are due upon receipt of the invoice, which must be paid before work is to begin. Payment is accepted via credit card, PayPal (for International customers only), or check. If the Client chooses to pay via check, Liz Theresa reserves the right to postpone work to ensure the check clears. Because Liz Theresa provides a service-based product, no monetary refunds will be provided once work for the Client has started. The Client reserves the right to revoke payment at any point before clearance of funds. The Client reserves the right to cancel the project at any time without a refund.

    Confidentiality: "Confidential information" means any information given to or worked on by the Provider and or a member of the Provider's team (ie. employees, subcontractors, interns).

    The Provider agrees not to use, disseminate, or share any confidential information with vendors, clients, or anyone else outside of Liz Theresa. The Provider will use reasonable care to protect all confidential information, treating it as securely as if it were her own. All passwords and logins for FTP folders, subfolders, test sites and/or other software/programs, etc. acquired will be sent to the Provider via a secure method on a timely basis (as agreed upon or stipulated via phone or email.)

    The Provider won’t publish, copy, or disclose any confidential information to any third party and will use her best efforts to prevent inadvertent disclosure of such information to any third party.

    Adjustment Clause: Either party (the Client or the Provider) may make adjustments to this agreement so long as they are both in agreement about any change. It is the Client's responsibility to ask for clarification regarding any verbiage in this document if they are unsure of meaning.
